Customer Data Access Authorization Agreement

This agreement allows you, the Customer of Record ("Participant"), to direct Faliam to disclose your Faliam Procurement Platform usage information participation data ("Customer Data") to TGP (TGPO LLC).

Background

  1. TGP operates as a group purchasing organization ("GPO"). The Participant has entered into an Agreement with TGP providing access to Products and Services through Faliam.
  2. By agreeing to TGP's agreement, Participant has automatically entered into an Enterprise SaaS Software and Services Agreement with Faliam, under which "all purchasing transaction data related to Participant's purchases of products and services pursuant to Participant's use of the Platform" is owned by Participant.

Authorization

The Participant desires that their Data related to purchases through the Platform be available to TGP. Therefore, Participant authorizes the following:

  1. Faliam to disclose your Faliam Procurement Platform usage information participation data to TGP.
  2. TGP is authorized in its capacity as Data Custodian to use the Data for statistical analysis, GPO functions and other similar purposes.
  3. Upon transmittal of the Data to TGP, Faliam shall have no responsibility related to TGP's maintenance and use of the Data as Data Custodian, and Participant waives any claims against Faliam related to TGP's maintenance and use of the Data.
  4. Participant understands that by agreeing to this agreement you are providing authorization to Faliam and authorizing the position of Data Custodian to TGP.
